Biography

Paul's understanding of business and finance helps him to guide entrepreneurs through the thicket of legal regulations, to plan and execute their strategies, and to accomplish their goals. Substantial experience in all areas of business law. Represents public and private companies in merger and acquisition and financial transactions. Paul is a Partner in the firm’s Corporate Law Group. Paul concentrates his practice in the areas of business law, securities law, and real estate serving public and private companies. He advises them about solving day-to-day business challenges and problems and planning for their future growth. Paul guides entrepreneurs to make the right decisions about the legal issues and business alternatives which they face.

Paul has extensive experience representing buyers, sellers, and investors in mergers and acquisitions. He acted as lead counsel to the sellers in a $100 million roll-up transaction of twelve printing companies. He handled the $46 million tax-free reorganization of a sports facility in its merger with a public company. He has represented a computer hardware integrator, an aerospace manufacturer, and an online financial services company in their sales to public companies.

Paul has handled many capital market transactions for middle market and emerging companies, including those in technology industries. He assists his clients in raising money through private placements, initial public offerings (IPOs), follow-on public offerings, venture capital and angel financings and bank financing. He is experienced in 1934 Act filings and compliance with the SEC, NASD, stock exchanges, and state securities regulators. He has extensive familiarity with stock options and executive compensation.Paul has substantial experience with sophisticated real estate matters. He represents developers in connection with acquisitions, sales, and financings of office buildings, hotels, and residential and mixed use buildings. He also is experienced in preparing and prosecuting condominium and cooperative filings with the Attorney General. In addition, he has handled many government-sponsored loans, including SBA and IDA transactions and related debenture offerings.

Paul is experienced in partnership law, including joint ventures and limited liability companies (LLC). He helps entrepreneurs to understand and solve the legal, business, tax, accounting, and cash flow issues that confront their companies. Corporate governance is important to public companies, private companies, not-forprofits, and municipalities alike in the 21st century. Paul has extensive experience in counseling companies and associations about Sarbanes-Oxley compliance, best practices, and assuring the independence and integrity of governing boards.

Paul serves his community by participating actively in a number of charitable, cultural, and trade associations. Paul is a director of two not-for-profits, Maimonides Benevolent Society and New York Society of Mortgage Professionals, Inc. He is also a founding member of Stony Brook University’s Center for Wireless and Internet Technologies (CEWIT).

Paul is an active member of LISTnet (the Long Island Software and Technology Network). He serves on the steering committees for its Linux special interest group and its Business Excellence Strategies and Trends Committee.

Paul has held leadership positions in the Nassau County Bar Association, having chaired its Corporation Law Committee, Securities Law Committee, and Unauthorized Practice of Law Committee. Paul lectures extensively about business law, corporate governance, and technology to trade, professional, and civic associations. He is also a frequent writer and contributor to the New York Law Journal and other periodicals. He has been interviewed about legal topics by National Public Radio, Long Island Business News, and Newsday.
